Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the cxoctl platform, including cxoctl.ai, app.cxoctl.ai, and related products (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service is operated by cxoctl (“cxoctl,” “we,” “us”).

2. The Service

cxoctl provides AI-powered “executive” agents (such as an AI CMO and AI CFO) that connect to third-party services you authorize, analyze the resulting data, produce strategic recommendations, and maintain living context documents on your behalf. The Service is provided on a subscription basis with tiers described on the Pricing page.

3. Accounts

  • You must be at least 16 years old and able to form a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
  • You must provide accurate information when creating your account and keep it current.
  • You are responsible for any connector credentials (OAuth tokens, API keys) you grant to the Service and for ensuring you have authority to connect those services.

4. Subscriptions and billing

  • Paid plans renew automatically at the end of each billing period (monthly or annual) until cancelled.
  • Billing is processed through Stripe. By subscribing you authorize us to charge your payment method for the applicable fees.
  • You can cancel your subscription at any time through the Stripe customer portal accessible from your account settings. Cancellation takes effect at the end of the current billing period.
  • Fees paid are non-refundable except where required by law. If you cancel mid-cycle, you retain access until the end of the paid period.
  • We may change prices on 30 days’ notice. Continued use after a price change takes effect constitutes acceptance.

5. Acceptable use

You agree not to:

  • Use the Service to violate any law, regulation, or third-party right, including the terms of any connected third-party service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by applicable law
  • Use the Service to send spam, malware, or abusive content, or to attack the security of cxoctl or any other system
  • Resell, white-label, or operate the Service as a service bureau without our written consent
  • Use the Service to generate content that is misleading, illegal, hateful, or harmful
  • Connect accounts or data you do not own or have explicit authorization to access

6. Your content and data

You retain all ownership rights in the content, data, and information you submit to the Service (including data pulled from connected services, messages sent to the agents, and documents produced on your behalf).

You grant cxoctl a non-exclusive, worldwide, royalty-free license to process your content solely to provide and improve the Service for you. This license ends when you delete the content or terminate your account, subject to the retention terms in the Privacy Policy.

We do not use your workspace data to train generalized AI models.

7. AI output disclaimer

The Service uses large language models to generate analyses, recommendations, and documents. AI output can contain errors, omissions, and fabricated details (“hallucinations”), and cxoctl does not guarantee that any recommendation, strategy, financial analysis, or projection produced by the Service is accurate, complete, or appropriate for your situation.

Nothing produced by the Service constitutes legal, financial, tax, medical, or professional advice. You are responsible for independently evaluating AI output before acting on it and for consulting qualified professionals where appropriate.

8. Intellectual property

The Service, including all software, designs, logos, and content created by cxoctl, is the property of cxoctl and is protected by intellectual property laws. These Terms do not grant you any rights in the Service itself except the limited right to use it in accordance with these Terms.

9. Third-party services

The Service integrates with third-party services (Google, Stripe, GitHub, and others). Your use of those services is governed by their respective terms and privacy policies. cxoctl is not responsible for the availability, accuracy, or practices of third-party services, and we may be required to suspend or remove an integration if a third-party provider changes its API or terms.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will meet your requirements.

11. Limitation of liability

To the maximum extent permitted by law, cxoctl will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill arising from or in connection with your use of the Service, whether based in contract, tort, statute, or otherwise.

cxoctl’s total aggregate liability under these Terms in any 12-month period will not exceed the greater of (a) the amount you paid to cxoctl during that period or (b) one hundred dollars (USD $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless cxoctl from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from (a) your violation of these Terms; (b) your content or connected data; or (c) your use of AI output in violation of applicable law or third-party rights.

13. Termination

You may terminate your account at any time by cancelling your subscription and deleting your account from the settings page. We may suspend or terminate your access to the Service if you breach these Terms, if continued provision would expose cxoctl to legal risk, or if a third-party provider required for the Service revokes our access. On termination, your right to use the Service ends, and sections that by their nature should survive (including sections 6–12) will survive.

14. Changes to the Service and Terms

We may modify or discontinue features of the Service at any time. We may update these Terms from time to time. Material changes will be communicated via email or in-product notification before taking effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
